This Terms and Conditions document (hereinafter the "Agreement") is a public offer and governs the relationship between TRUE SOFT SOLUTIONS FZCO, operating under the FeeSaver brand (License Number: 44809, a Free Zone Company registered in Dubai Digital Park, UAE; hereinafter the "Company") and any individual user of the Company’s services (hereinafter the "User"). By using the services described herein, you agree to all terms and conditions of this Agreement. If you do not agree with any term of this Agreement, you must not use the FeeSaver services.
1General Provisions
This Agreement is an official offer by the Company containing all essential terms of the service contract. Acceptance of this Agreement by the User constitutes the User’s full and unconditional consent to all its terms without exceptions.
Use of any of the Company’s services (including use of the FeeSaver website or the @feesaver_bot Telegram bot) signifies the User’s acceptance of this Agreement in full. The Agreement is deemed concluded at the moment the User registers an account on the website or otherwise begins using the services.
The Company’s services are offered only to natural persons (individuals) and not to businesses or other legal entities. Each User must be an individual acting on their own behalf for personal purposes.
Minimum Age. Users must be at least 18 years old, legally capable, and eligible to use these services under the laws of their jurisdiction. By accepting this Agreement, the User affirms that he/she is 18 years of age or older and has the legal capacity and right to use the Company’s services.
The current version of this Agreement, along with any other policies on the Company’s website (such as the Privacy Policy), constitutes a unified set of rules governing use of the services. These documents are integral parts of the Agreement. The Company may require the User’s agreement to additional terms for specific services, which will also become part of this Agreement if accepted by the User.
2Subject of the Agreement
The Company provides services related to the rental and delegation of TRON blockchain Energy and associated resources to Users. In particular, FeeSaver enables Users to obtain Tron network Energy (obtained through TRX staking by the Company) for the execution of on-chain operations, such as TRON smart contract calls and TRC-20 token (e.g. USDT) transactions, in order to reduce or eliminate the direct TRX fees paid by the User. These services are provided via the FeeSaver online platform (website) and an official Telegram bot interface.
The scope of services under this Agreement includes all current services listed on the Company’s site (and bot) at the time of the User’s acceptance, as well as any future services, updates or additions related to blockchain energy rental that the Company may offer. The terms of this Agreement will equally apply to any such new or modified services, unless otherwise specified.
The Company does not offer its services to any User for commercial re-sale or brokerage. Each User agrees to use the services for their own personal needs and not on behalf of any third party or business entity. FeeSaver’s services are intended for individual end-users only, and any use of the services for providing services to others (such as operating an exchange or reselling energy) is outside the scope of this Agreement unless explicitly allowed by the Company in a separate contract.
3Procedure for Concluding the Contract
Acceptance. This Agreement is considered accepted and binding on the parties from the moment the User expresses consent. The User accepts the Agreement by registering an account on the FeeSaver website or by initiating use of the services (for example, by interacting with the FeeSaver Telegram bot). Registration or first use of the service serves as confirmation that the User has read, understood, and agrees to all terms of this Agreement.
If the User does not agree with any clause of this Agreement, the User must refrain from registering or using any FeeSaver services. By continuing with the registration or usage, the User confirms agreement to this public offer and enters into a service contract with the Company.
Identification Requirement. Conclusion of the contract is conditioned upon the User’s successful completion of identification and verification procedures (Know-Your-Customer/KYC) as described in Section 7 of this Agreement. The Company may refuse to conclude the contract or provide services until such procedures are completed to the Company’s satisfaction.
4Terms and Conditions of Service Provision
Energy Provision Requests. The Company provides TRON network Energy to the User based on the User’s requests or orders. The User may specify the desired amount of Energy (or transaction capacity), the period of delegation (rental duration), and any other required parameters via the Company’s service interfaces. The Company will supply Energy to the User’s designated TRON wallet (by delegating or otherwise allocating the necessary TRX stake resources) according to the details of the User’s request.
Expiration of Energy Allocation. Any Energy that has been paid for by the User but remains unused at the end of the paid delegation period will be automatically withdrawn or revoked by the Company at the conclusion of that period. The User understands that the rental of blockchain resources is time-bound; once the rental term ends, the User’s access to the Energy ends and any unused Energy does not carry over unless the User renews the service.
Conditional Delivery. The Company will deliver or continue providing the Energy and any related services only if the User has made full and timely payment for the requested services. Prepaid fees must be received in advance of or immediately upon the service term. If payment is not received on time or in full, the Company reserves the right to suspend or withhold the provision of Energy and associated services until payment is completed.
Electronic Notifications. By registering or using FeeSaver’s services, the User agrees to receive informational notifications, messages, and other communications from the Company via electronic channels, including e-mail and Telegram. These notifications may include service updates, transaction alerts, news about new features, changes to terms, or other important information related to the services. Such electronic communications are considered to be given and received by the User upon being sent by the Company. The User is responsible for keeping their email and Telegram contact information up to date to receive such notices.
5Price and Payment
Dynamic Pricing. The price (fee) for using the Company’s services is determined based on the current tariffs and rate schedules established by the Company at the time the service contract is concluded or the transaction is executed. These fees may vary dynamically depending on market conditions, TRON network resource demand, TRX staking rates, or other external factors. The Company’s fee structure is therefore subject to change, and fees may increase or decrease over time in response to the prevailing market for TRON Energy.
Prepayment Requirement. The User undertakes to pay the required service fees in advance (prepayment) for the use of FeeSaver’s services. In other words, before the Company supplies Energy or other services to the User, the User must provide payment equal to the cost of the service as calculated by the current tariff.
Payment Method. Payments for the services are made in Tron (TRX) cryptocurrency, unless the Company specifies an alternative payment currency. The User shall send the payment to the crypto wallet address provided by the Company (for example, the wallet linked to the User’s account or displayed in the FeeSaver interface). The Company will consider payment to be complete once the required amount is confirmed on the blockchain at the Company’s wallet address. Any applicable transaction fees for sending payment (e.g., network fees) are the responsibility of the User.
Automatic Fee Deduction. The User acknowledges and agrees that the Company’s service fees or commissions may be automatically deducted from the User’s provided funds or balance at the time each service operation is performed. The Company will inform the User (through the website interface, bot, or other facilities) of the current applicable commission or fee rate for the operation at the time of or prior to the transaction. The fee deduction is carried out transparently and in accordance with the tariffs in effect. For example, if the User maintains a prepaid balance with the Company, the Company may deduct the relevant fee amount from that balance whenever the User utilizes the service (such as when Energy is allocated for a transaction).
All fees paid to the Company are generally non-refundable except as explicitly set forth in this Agreement or required by applicable law. The Company reserves the right to offer refunds or credits in specific circumstances at its sole discretion, but providing any refund in one case shall not obligate the Company to provide a refund in other cases.
6Rights and Obligations of the Parties
6.1 Company’s Obligations
The Company undertakes to:
- Provide Services with Due Quality and Care Ensure the timely and quality provision of the services promised under this Agreement. The Company will use reasonable skill and care in supplying Energy and related services to enable Users to conduct TRON transactions with reduced fees.
- Technical Support Provide the User with appropriate customer support, consultations, and technical assistance related to using the services. Support is available through the channels listed on the FeeSaver website (such as 24/7 online support or the support Telegram bot).
- Maintenance and Security Take reasonable measures to maintain the continuous functionality and security of the website, bot, and service infrastructure, except in cases where this is not feasible due to factors beyond the Company’s control. The Company will implement industry-standard practices to protect User accounts and data, and will provide safeguards (such as account authentication and encryption) to ensure the safety of User assets and information.
- Compliance with Law Operate the services in accordance with applicable laws and regulations of the United Arab Emirates and any other relevant jurisdictions. This includes implementing procedures for User identification and transaction monitoring as required (see Section 7 on KYC), and adhering to relevant anti-money laundering and counter-terrorism financing rules.
- The Company may have other obligations specified elsewhere in this Agreement or in related policies, and agrees to fulfill those obligations in good faith.
6.2 User’s Obligations
The User undertakes to:
- Timely Payment Pay for the services on time and in full as required by Section 5 of this Agreement. This includes paying all applicable fees or commissions associated with energy rental or other services the User utilizes. The User should ensure that any cryptocurrency payment is sent with sufficient time for confirmation before expecting the corresponding service.
- Proper Use of Services Use the FeeSaver services strictly in accordance with this Agreement, the instructions provided on the website, and any additional terms and conditions provided by the Company. The User must follow all applicable user guidelines and not use the services in any manner that is not authorized by the Company.
- Provide Accurate Information Provide true, accurate, and up-to-date information to the Company when requested, particularly during account registration and Know-Your-Customer (KYC) verification procedures. The User must complete all required identification steps (see Section 7) and promptly update any information if it changes. Submission of false documents or misleading information is a violation of this Agreement and may result in refusal or termination of services.
- Eligibility Attestation Ensure that they meet the eligibility criteria at all times. By using the service, the User confirms that he/she is not under 18 years of age and is legally permitted to use cryptocurrency services in their country. The User also confirms that they are not acting on behalf of a business or a third party and are using the service only for personal, lawful purposes.
- Lawful and Acceptable Use Use the services only for legitimate purposes. The User shall not engage in any activity that is illegal, fraudulent, or that violates any laws or regulations while using FeeSaver. In particular, the User agrees not to use the service for any form of money laundering, terrorist financing, or other illicit purposes. The User must not utilize the provided Energy or any aspect of the service to facilitate transactions involving prohibited goods, services, or activities under applicable law. Any attempt to use the service for unlawful or harmful activities is strictly prohibited.
- No Service Abuse or Interference Refrain from abusing, exploiting, or interfering with the normal functioning of the FeeSaver platform. The User shall not attempt to bypass any security measures or gain unauthorized access to any part of the service (including the accounts of other users, the backend systems, or the underlying smart contract mechanisms). The User shall not deploy any scripts, bots, or automated systems that repeatedly call or stress the service in a manner that could disrupt service availability or integrity.
- Single Account Limit Maintain only one account with FeeSaver. The creation of multiple accounts by the same individual is prohibited. Similarly, the User must not use the service under multiple identities or share an account with others. Each User can be associated with only a single FeeSaver user identity for the purposes of KYC and service usage. If the Company detects that a User has created or is operating more than one account, it may take corrective action, including termination of duplicate accounts and potential suspension of the User.
- Personal Use, No Transfer Use their account personally and not transfer or assign the account to any other person. The User shall not register an account on behalf of another person (except if explicitly permitted by law, such as a legal guardian for a minor in cases where minors are allowed, though in our case minors are not allowed). Account credentials (login, passwords, API keys, etc.) must be kept confidential by the User, and sharing such credentials with third parties is forbidden. The User is responsible for all activities that occur under their account.
- Respect for Service and Content Not post or transmit any malicious or prohibited content on the Company’s website or through its support channels. The User must not use the service in a manner that could introduce viruses, malware, or any harmful material, and must not attempt to collect data from the site through scraping or other automated means without authorization.
- The User shall additionally comply with any other obligations set forth in this Agreement or any policies referenced herein. Failure to fulfill any of these obligations may result in suspension or termination of the User’s access to the services, as well as potential legal consequences.
7User Identification and Verification (KYC)
KYC Requirement. In order to use the Company’s services, the User is required to undergo an identification and verification process (Know Your Customer). This process involves providing certain personal information and documentation so the Company can verify the User’s identity in compliance with legal and regulatory requirements. The information requested may include, but is not limited to: the User’s full name, date of birth, residential address (as per passport or other government ID), and contact details (email address and possibly phone number), among other data. The Company may also request additional information as needed to fulfill its anti-money laundering (AML) and counter-terrorism financing obligations or other internal risk management policies.
Accuracy of Information. The User must provide truthful, accurate, and up-to-date information during the identification process. Any documents submitted (such as passport, national ID, proof of address, etc.) must be valid and authentic. The Company reserves the right to use third-party services or databases to verify the information provided by the User.
Completion of Verification. Only upon successful completion of the identification and verification procedures will the User be allowed full access to the Company’s services. Successful verification means the Company has confirmed the User’s identity to its satisfaction and assigned the User a verified account (or identification number) within its system. At that point, a virtual assets wallet or account for the User may be created in the Company’s system if applicable, and the User can commence using the services as a Client.
Refusal upon Failure. If a User fails to pass the verification procedures, or if any of the information provided is determined to be false, misleading, or if the User is found to be on any official sanctions list, the Company may reasonably refuse to provide services to that User. For example, if it is discovered that the User is on a financial sanctions or terrorism watchlist, or if the documents provided are fraudulent, the Company will reject the User’s registration. The User may be informed of the failure if appropriate, except where legal considerations (such as tipping-off rules under AML laws) prevent such disclosure.
One Account Per Person. The Company provides services only to uniquely identified individuals. A User is not allowed to register or maintain more than one account or wallet with the Company. In the event the User attempts to create multiple accounts, the Company will take action once such fact is discovered. Such action may include terminating or freezing the additional account(s) and could include sanctions on the main account. The User should use a single account for all service needs and contact support if access issues occur, rather than creating new accounts.
No Anonymous Use. The Company does not permit anonymous or pseudonymous usage of its services. Accounts with obviously fictitious names or information will not be approved, and the Company will not open or maintain wallets/accounts that are not associated with a verified identity. The User must use their real identity and must not attempt to conceal their identity to bypass the identification requirements.
Ongoing Compliance. The User may be required to undergo additional verification steps from time to time, especially when certain thresholds are met or if suspicious activity is detected. The Company has the right to request updated documents or information at any stage to ensure ongoing compliance with its legal obligations. The User’s failure to comply with any future KYC or re-verification request can result in suspension of the account until the requirement is fulfilled.
Suspicious Activity and Freezing. The Company reserves the right to suspend or terminate the User’s access to any services and to immediately freeze any transactions or assets associated with the User, without prior notice, if the Company suspects that the User’s account is being used for illegal activities such as money laundering, terrorist financing, proliferation of weapons of mass destruction, fraud, or any other criminal or civil violations. In such cases, the Company may also report the incident to relevant law enforcement or regulatory authorities as required by law.
Sanctions and Prohibited Persons. The User represents and warrants that they are not located in, a citizen or resident of, or using the service from any country that is subject to comprehensive sanctions or embargoes (as detailed in Section 8 below), nor are they on any list of sanctioned individuals (e.g., UN sanctions, US OFAC SDN list, EU sanctions lists, etc.). If at any time this representation becomes false (for instance, the User becomes a resident of a prohibited jurisdiction or is placed on a sanctions list), the User must immediately notify the Company and cease using the services. The Company may, at its discretion, terminate the User’s account under such circumstances.
8Prohibited Jurisdictions
In accordance with the Company’s risk management policies, FeeSaver does not currently provide services to Users from certain high-risk countries or regions. The Company will not establish accounts or engage in business with any User who is a resident or citizen of, or is accessing the service from, any of the following jurisdictions: Algeria, Anguilla, Angola, Antigua and Barbuda, Aruba, Belize, Bermuda, British Virgin Islands, Burkina Faso, Venezuela, Gabonese Republic, Guinea-Bissau, State of Libya, Grenada, Democratic Republic of the Congo, Islamic Republic of Afghanistan, Islamic Republic of Iran, Islamic Republic of Yemen, Kenya, Principality of Andorra, Côte d’Ivoire, Democratic People’s Republic of Korea (North Korea), Lao People’s Democratic Republic (Laos), Lebanon, Macao, Maldives, Monaco, Montserrat, Mozambique, Namibia, Independent State of Samoa, Nepal, Niue (associated with New Zealand), Cayman Islands, Cook Islands, Labuan Islands, Turks and Caicos Islands, Republic of Vanuatu, United Republic of Tanzania, Republic of Cameroon, Republic of the Congo, Republic of Iraq, Republic of Haiti, Republic of Mali, Republic of the Marshall Islands, Republic of Mauritius, Republic of Nauru, Republic of Panama, Republic of Seychelles, Republic of the Union of Myanmar, Republic of the Sudan (Sudan), Republic of South Sudan, Saint Lucia, Federal Republic of Nigeria, Federal Republic of Somalia, Federal Republic of Saint Kitts and Nevis, Republic of South Africa, Socialist Republic of Vietnam, the European Union, and the United States of America (including its territories: Puerto Rico, American Samoa, Guam, Northern Mariana Islands, and the U.S. Virgin Islands (St. Croix, St. John, and St. Thomas)).
The above list of prohibited jurisdictions may be updated or expanded at any time at the Company’s sole discretion and in accordance with its legal and regulatory obligations. Certain countries may be added or removed from the list based on changes in international risk ratings, sanctions, or company policy. This list is not exhaustive or final, and the Company reserves the right to refuse service to Users from any jurisdiction if required by law or if deemed necessary to protect the Company’s interests.
If it is determined that a User has provided false information regarding their location or residency in an attempt to circumvent the above restrictions, the Company may take any action it deems appropriate, including the immediate suspension or termination of the User’s account and services and the freezing of any associated transactions or assets. The User shall be liable for any legal consequences of such misrepresentation.
The User must promptly notify the Company if they become a resident or citizen of any country listed in clause 8.1 (for example, if the User relocates to one of those countries after opening an account). In such an event, the Company may be required to terminate or suspend the User’s access to services in order to comply with the law. The User agrees that the Company is not liable for any losses or inconvenience arising from the Company’s inability to provide services due to the User’s change in residency to a prohibited jurisdiction.
9Risk Disclosure
No Advice or Investment Recommendation. The User acknowledges that no information or communication from the Company (through its website, Telegram bot, or any other channels) should be construed as an investment recommendation, financial advice, or an invitation to engage in any trading or investment activity. FeeSaver’s services are limited to providing blockchain network resources (Energy) and related facilities; the Company does not advise on the merit or value of any particular cryptocurrency, digital asset, or transaction. Any decisions that the User makes in relation to buying, selling, holding, or transacting in cryptocurrencies (including TRX or any tokens for which the User is using Energy) are made at the User’s own initiative and risk.
Volatility and Loss Risks. The User understands that engaging in cryptocurrency transactions and holding digital assets involves significant risks. Cryptocurrency markets are highly volatile, and the value of virtual assets can fluctuate dramatically over short periods. There is a risk that the User could lose the entire value of their digital assets. By using FeeSaver’s service to facilitate transactions (for example, sending tokens using rented Energy), the User acknowledges these inherent risks. The Company strongly encourages Users to educate themselves about the risks of blockchain and cryptocurrency usage. More detailed information about general risks may be provided in a separate Risk Disclosure Statement on the Company’s website, though even such disclosure cannot enumerate all possible risks. The risks include, but are not limited to, market volatility, technical failures, blockchain congestion, smart contract vulnerabilities, regulatory changes, and cyber-security breaches. The User should only transact with funds they can afford to lose.
No Profit Guarantee. The Company makes no guarantee of any outcome or profit from the use of its services. While the service aims to reduce transaction fees by providing Energy, the overall economic result for the User depends on various factors (such as the cost of acquiring Energy vs. the fees saved, market price of TRX, etc.). The User should not interpret any demonstration of fee savings or any performance statistics on the website as a promise of future savings or gains.
User’s Own Risk. The User agrees that any information obtained through the Company’s services or website is used at the User’s own risk. Blockchain networks and markets may evolve, and information that was accurate or relevant at one time may become outdated. The User must use their own judgment when relying on any information provided by FeeSaver and should consider seeking independent advice from financial or legal professionals if necessary. The User is solely responsible for the outcomes of their decisions to utilize the services in certain ways (e.g., sending large transactions, holding certain tokens, etc.).
Future Changes and Technological Risk. The User understands that the blockchain environment (especially the TRON network which FeeSaver relies on) is subject to change. Protocol changes (updates or forks in the blockchain), changes in staking and resource model on TRON, or other technical adjustments can affect how the Energy rental service works. The Company will strive to manage and communicate any such changes, but the User accepts that such external factors are beyond the Company’s control. The User should be aware that technical issues or changes in the TRON network might impact the effectiveness of FeeSaver’s services, and possibly the costs.
No Liability for Losses. The Company shall not be liable for any losses that the User may incur as a result of using the services or relying on any information or service provided by the Company. By using the service, the User agrees that the Company is not responsible for any damages or losses related to volatility, market movements, or any other risk factors inherent in the cryptocurrency ecosystem.
10Limitation of Liability
Liability Under Law. The Parties (the Company and the User) shall be held liable for improper performance or non-performance of their obligations under this Agreement in accordance with applicable law and the provisions of this Agreement. This means that if either party fails to meet their commitments, the extent of their liability is determined by UAE law as well as the terms herein.
Limited Company Liability. The User acknowledges that the Company’s liability to the User is limited. In particular, the Company will be responsible to the User only for intentional misconduct or willful failure to fulfill its obligations under this Agreement, and then only to the extent provided by law. If the Company breaches this Agreement intentionally and causes direct loss to the User, the Company may compensate the User for those losses as required by UAE law. However, the Company will not be liable for any harm or loss that is not directly caused by the Company’s willful breach (for example, the Company is not liable for accidental or indirect errors, especially those outside its control, as further detailed below).
“As Is” Services: The services and all related software and information are provided to the User on an “as is” and “as available” basis without any representation or warranty of any kind. The Company does not guarantee that the services will meet the User’s expectations or requirements, nor does it guarantee any specific outcome or success of the services. For example, the Company does not warrant that using rented Energy will result in cost savings in every scenario, or that the service will be available at any particular time or have any particular uptime or performance.
No Indirect Liability. To the fullest extent permitted by applicable law, neither the Company nor its affiliates shall be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to the User’s use of (or inability to use) the website, the services, or any content or information obtained from the Company. This exclusion includes, but is not limited to, damages for lost profits, lost savings, loss of data, business interruption, or any other commercial or personal damages or losses, even if the Company had been advised of the possibility of such damages.
Use at Own Risk. The User agrees that they use the Company’s website, services, and any information entirely at their own risk. The Company disclaims any responsibility for decisions that the User makes based on information made available by the Company (for instance, information about fees or crypto market trends provided in blogs or support responses). The User bears full responsibility for the outcomes of their use of the services.
No Warranty of Uninterrupted Service. The Company does not guarantee continuous, uninterrupted or error-free operation of the FeeSaver services. No warranty is given that the services will be available at all times, or that they will be free from delays, failures, errors, or loss of transmitted information. The Company shall be exempt from liability for any technical defects or unavailability of the site or services, as well as for any losses resulting from the User’s inability to access or use the site or services at any given time. For example, the Company is not liable if the service is down for maintenance or if unexpected server issues or blockchain network issues cause service interruptions.
Third-Party and External Factors. The Company is not responsible for acts or omissions of third parties that may affect the provision of the services. This includes, for example, problems attributable to internet service providers, data center outages, blockchain network congestion or failures (such as TRON network halts or node failures), or any other third-party services that the FeeSaver service relies upon. Additionally, the Company shall not be liable for any harm resulting from malware, viruses, hacking, or other malicious activities by unrelated third parties that may affect the service or the User’s device or accounts.
Force Majeure Events. (Further detailed in Section 11) The Company will not be liable for any failure to perform its obligations if such failure results from circumstances beyond its reasonable control (force majeure). This includes events like natural disasters, government acts, war, or other events detailed below that make performance impracticable.
User’s Responsibility for Errors. The Company shall not be liable for errors or mistakes made by the User in the course of using the service. For instance, the Company is not responsible if the User provides an incorrect blockchain wallet address or destination tag and, as a result, funds or Energy are delivered to the wrong address or are lost. The User is solely responsible for ensuring the accuracy of information (such as addresses, amounts, parameters) in any service request or transaction. The Company also bears no responsibility for any loss due to the User’s failure to comply with instructions or due to negligence in maintaining the security of their account credentials.
Limitation of Amount. In jurisdictions where the exclusion of certain warranties or limitations of liability for certain types of damages are not allowed, the Company’s liability will be limited to the minimum extent permitted by law. In any case, to the extent permissible, the total aggregate liability of the Company to a User for all claims arising from or related to the service shall not exceed the fees the User paid to the Company for the specific service in question.
Nothing in this Agreement is intended to limit or exclude liability that cannot be limited or excluded under applicable law (for example, certain statutory liabilities. If any part of this Section 10 is found to be unenforceable under applicable law, the remainder of the liability limitations shall continue to apply.
11Force Majeure
No Liability for Force Majeure. The Company and the User (each a “Party”) shall not be liable for any partial or full failure to fulfill their obligations under this Agreement if such failure is caused by force majeure circumstances beyond the reasonable control of the affected Party. In a force majeure event, the affected Party is excused from performance for the duration of the event, provided that they notify the other Party and make reasonable efforts to resume performance as soon as possible.
Examples of Force Majeure. Force majeure events include, but are not limited to: natural disasters (such as earthquakes, floods, hurricanes), fires, wars, acts of terrorism, epidemics or pandemics, riots or civil disturbances, strikes or labor disputes, failures of public utilities or communications networks, governmental or regulatory actions (such as bans, sanctions, or new laws that render the service illegal or impractical), or any other circumstances beyond the reasonable control of the affected Party which could not have been prevented by reasonable foresight or measures.
Notice and Mitigation. The Party experiencing a force majeure event shall inform the other Party as soon as practicable about the occurrence of the event and its expected duration and impact on performance. The affected Party shall use reasonable efforts to mitigate the effects of the force majeure and to perform its obligations as soon as the force majeure event is resolved.
Right to Terminate. If a force majeure event continues for an extended period (for example, longer than 30 days) making it impossible for the Company to provide services or for the User to use them, either Party may have the right to terminate this Agreement upon written notice to the other. In such event, neither Party will be considered in breach of the Agreement due to the non-performance caused by the force majeure.
12Confidentiality and Privacy
Confidentiality Obligation. The Company undertakes not to disclose any confidential information about the User to third parties, except as provided in this Agreement or required by law. Confidential information includes personal data provided by the User (such as identity documents, contact details) and details of the User’s transactions or use of services, except for information that is publicly available on the blockchain (blockchain transaction data is by nature public). The Company values User privacy and will handle personal information in accordance with its Privacy Policy and applicable data protection laws.
Use of Information. All information collected from the User is used solely for the purposes of providing the services and fulfilling the Company’s obligations under this Agreement. This may include using the data to perform identity verification, to process transactions, to provide customer support, and to comply with legal requirements (such as anti-money laundering checks). The Company will not use the User’s information for other purposes without the User’s consent, except for legitimate interests like improving the service or internal record-keeping, and always in line with the Privacy Policy.
Exceptions to Non-Disclosure. The Company may disclose User information if such disclosure is required by law (for example, in response to a court order, law enforcement demand, or regulatory requirement) or is necessary to enforce the terms of this Agreement or protect the rights and interests of the Company (for instance, disclosing information to debt collection agencies if the User owes fees, or to investigators in case of fraud). Any disclosure will be limited to the information required and, where permitted, the User may be notified of such disclosures.
User’s Own Measures. The User has the right to take steps to protect their own privacy while using the services (such as using a pseudonym in public forums, etc.), but the User must still provide their real information to the Company privately for KYC purposes. The User is responsible for maintaining the confidentiality of their account credentials and personal data on their end. The Company is not liable for information disclosure or breaches that occur due to the User’s own negligence (e.g., if the User shares their password or leaves their computer unlocked).
Privacy Policy. Further details of how the Company collects, uses, stores, and protects User personal data are provided in the FeeSaver Privacy Policy (published on the website). That Privacy Policy is considered part of this Agreement by reference. By agreeing to these Terms, the User also acknowledges the terms of the Privacy Policy. In case of any conflict between the Privacy Policy and this Agreement regarding personal data, the Privacy Policy will prevail for matters of data protection and privacy.
13Amendments and Termination
Right to Amend. The Company reserves the right to unilaterally modify or amend the terms of this Agreement at any time, without prior individual notice to the User. Updates to the Terms and Conditions may be made, for example, to comply with new laws, to adjust to new service features, or to clarify provisions. The current version of the Agreement will be posted on the Company’s official website (and accessible via the FeeSaver bot or app, if applicable). The version posted on the website supersedes all previous versions of the Agreement.
Effective Date of Changes. Any changes to this Agreement will become effective at the time of their publication on the website, or at a later date if so specified by the Company. The Company may (but is not obligated to) also notify Users of significant changes via electronic communications (such as an email or Telegram message) as a courtesy. However, it is ultimately the User’s responsibility to review the Terms and Conditions periodically for any updates.
Continued Use as Acceptance. If the User continues to use the services after an updated version of the Agreement has been posted, such continued use will constitute acceptance of the revised Terms. If the User does not agree to any updated term, the User must stop using the services and may request termination of their account.
Term of Agreement. This Agreement is effective from the moment of acceptance (as per Section 3) and will remain in effect until terminated either by the User or by the Company, or superseded by a new version of the Agreement. The termination of this Agreement can occur in the following cases:
- By User The User may terminate the Agreement at any time by discontinuing use of all FeeSaver services and closing their account (subject to completing any pending obligations such as paying outstanding fees or returning any rented resources if applicable).
- By Company The Company may terminate this Agreement with respect to a User (thereby ending the User’s access to services) at any time for any reason, including but not limited to the User’s breach of these Terms, the User becoming ineligible (e.g., moving to a prohibited jurisdiction), or at the Company’s discretion if it ceases offering the service. In cases of minor breaches, the Company will attempt to give notice and an opportunity to cure the breach if practicable. However, for serious violations or when required by law, termination may be immediate.
Survival. Any provisions of this Agreement which by their nature should survive termination (such as liability limitations, dispute resolution, governing law, and any obligations to pay fees) will remain in effect even after termination of the Agreement.

Governing Law. This Agreement and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with it or its subject matter shall be governed by and construed in accordance with the laws of the United Arab Emirates (UAE). For avoidance of doubt, UAE law will apply without regard to any conflict of law principles that would result in the application of the law of any other jurisdiction.
Jurisdiction. The parties agree that the courts of Dubai, UAE shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with this Agreement or its subject matter. The User agrees to submit to the personal jurisdiction of the Dubai courts for litigating such disputes. If the User’s local laws prohibit participation in the types of services offered (for example, laws against cryptocurrency usage), the User must not use the services. The Company does not solicit any User to engage in any service that is unlawful in the User’s jurisdiction.

Severability. If any provision of this Agreement is held to be invalid, illegal, or unenforceable by a court or tribunal of competent jurisdiction, that provision shall be deemed to be severed from this Agreement and the remaining provisions shall continue in full force and effect. The Parties shall negotiate in good faith to replace any invalid or unenforceable provision with a valid provision that, as closely as possible, achieves the intended commercial result of the original provision.
No Waiver. The failure of either Party to enforce any right or provision of this Agreement shall not constitute a waiver of future enforcement of that right or provision. A waiver of any term of this Agreement will be effective only if in writing and signed by the Party granting the waiver. No course of conduct or trade practice shall modify the provisions of this Agreement.
Assignment. The User may not assign or transfer any of their rights or obligations under this Agreement without the prior written consent of the Company.
